Commercial Contracts Attorney (M&A Diligence) | $90–100/hr | Worldwide Remote

MICRO1 is seeking an experienced Commercial Contracts Attorney to support M&A due diligence efforts on a contract basis. This role is ideal for a sharp legal generalist with a strong background in commercial contract review, risk assessment, and transactional work who thrives in fast-paced, detail-oriented environments.

What You'll Do

• Review and analyze commercial contracts as part of M&A due diligence processes
• Identify and assess legal risks related to key contractual provisions, including change-of-control, assignment, termination, exclusivity, MFN, indemnification, and renewal clauses
• Annotate contracts and deliver structured, actionable feedback to deal teams
• Draft and negotiate contract language where needed
• Explain complex legal concepts clearly to both legal and non-legal stakeholders
• Work within virtual data rooms to manage and review large volumes of documents efficiently

What We're Looking For

• Demonstrated experience in commercial contract review and M&A diligence
• Strong practical legal judgment and attention to detail
• Excellent written and verbal communication skills
• Familiarity with SaaS and technology agreements is a plus
• Experience with contract analytics tools is advantageous
• Ability to work independently, manage priorities, and deliver structured feedback under tight timelines

Compensation

$90–$100/hr — contract engagement, fully remote.
