We are seeking an experienced Mergers & Acquisitions Attorney to join our legal team on a contract basis. This role is ideal for a seasoned legal specialist with deep expertise in transactional law, contract negotiations, and deal structuring across complex M&A transactions.
Key Responsibilities
- Draft, review, and negotiate Asset Purchase Agreements (APAs) and Stock Purchase Agreements (SPAs)
- Lead and manage contract negotiations with counterparties, ensuring favorable terms and risk mitigation
- Perform detailed redlining and markup of legal documents with precision and clarity
- Advise on deal structure, due diligence findings, and transactional risk
- Collaborate with internal stakeholders and external counsel throughout the deal lifecycle
Required Skills & Experience
- Proven experience in Mergers & Acquisitions (M&A) law
- Strong command of APAs, SPAs, and related transactional documents
- Excellent contract negotiation and redlining skills
- Ability to work independently in a remote environment with minimal supervision
- JD from an accredited law school; active bar membership preferred
This is a fully remote contractor engagement offering competitive hourly compensation between $80 and $105 per hour, commensurate with experience.
