M&A Attorney | $80–105/hr | Worldwide Remote

We are seeking an experienced Mergers & Acquisitions Attorney to join our legal team on a contract basis. This role is ideal for a seasoned legal specialist with deep expertise in transactional law, contract negotiations, and deal structuring across complex M&A transactions.

Key Responsibilities

• Draft, review, and negotiate Asset Purchase Agreements (APAs) and Stock Purchase Agreements (SPAs)
• Lead and manage contract negotiations with counterparties, ensuring favorable terms and risk mitigation
• Perform detailed redlining and markup of legal documents with precision and clarity
• Advise on deal structure, due diligence findings, and transactional risk
• Collaborate with internal stakeholders and external counsel throughout the deal lifecycle

Required Skills & Experience

• Proven experience in Mergers & Acquisitions (M&A) law
• Strong command of APAs, SPAs, and related transactional documents
• Excellent contract negotiation and redlining skills
• Ability to work independently in a remote environment with minimal supervision
• JD from an accredited law school; active bar membership preferred

This is a fully remote contractor engagement offering competitive hourly compensation between $80 and $105 per hour, commensurate with experience.
