We are seeking an experienced Mergers & Acquisitions Attorney to join our legal team on a contract basis. This role is ideal for a seasoned legal professional with deep expertise in transactional law, contract negotiations, and deal structuring.
Key Responsibilities
- Draft, review, and negotiate Asset Purchase Agreements (APAs) and Stock Purchase Agreements (SPAs)
- Lead and manage complex M&A transactions from initiation through closing
- Conduct thorough contract redlining and provide clear, actionable legal commentary
- Advise on deal structure, risk mitigation, and regulatory compliance
- Collaborate with internal stakeholders and external counsel to drive transactions forward efficiently
Required Skills & Experience
- Proven experience in Mergers & Acquisitions law
- Strong proficiency with APAs and SPAs
- Expert-level contract negotiation and redlining skills
- Ability to work independently in a remote environment with minimal supervision
- J.D. from an accredited law school and active bar membership required
